Picser Terms of Use

Thank you for choosing Picser. These Terms of Use (the “Terms”) are designed to protect your rights and clarify our mutual obligations. Please read them carefully before downloading, installing, or using the Software (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance and Applicability

  1. These Terms constitute a binding agreement between Soyotube and its affiliates (“we,” “our,” or “us”) and you, an individual user or legally authorized entity (“you”), governing your worldwide access to and use of the Service.
  2. If you do not agree with any part of these Terms, you must immediately discontinue use and uninstall the Software.
  3. We may provide supplemental terms or policies for specific features or activities. In case of conflict, the supplemental terms prevail for the relevant feature or activity.

2. Service Overview

  1. Picser is a macOS image viewer offering browsing, zoom, crop, EXIF inspection, customizable shortcuts, and related features.
  2. Picser is downloaded through the App Store and currently offers a free tier, an annual subscription with a 7-day free trial, and a full unlock option. Feature availability, trial eligibility, and regions are determined by the product description, the App Store listing, and the current release.
  3. We may update, expand, or adjust features periodically, including adding new paid plans or add-on modules. We will notify you through release notes or in-app messaging when changes occur.

3. License and Use Restrictions

  1. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software for personal or internal business purposes.
  2. You must not:
    • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the Software’s source code;
    • Rent, lease, resell, host, or provide the Software to unauthorized third parties;
    • Remove or modify any copyright, trademark, or proprietary notices in the Software;
    • Use the Software in a manner that infringes the rights of others or violates applicable laws and regulations.
  3. To the fullest extent permitted by law, we reserve the right to terminate the license or restrict your use at any time and, if necessary, request that you delete the Software and related materials.

4. User Obligations

  1. You must ensure that you have lawful rights to the images you view or process and that you do not infringe third-party copyright, privacy, or other legal interests.
  2. You may not use the Service to create, copy, publish, or disseminate unlawful, harmful, infringing, or otherwise objectionable content.
  3. You are responsible for maintaining the security of your devices and systems, including safeguarding your Apple ID and related credentials.
  4. If we determine that you violated these Terms or applicable laws, we may warn you, restrict your access, suspend or terminate the Service, and pursue legal remedies if necessary.

5. Trial and Payment Terms

  1. Free Tier and Trial: You may download and use the free tier for basic functionality. If you choose the annual subscription, new users may receive a one-time 7-day free trial. Trial eligibility, timing, and conditions are determined by the App Store and the in-app purchase flow.
  2. In-App Purchase:
    • All paid entitlements must be purchased and unlocked inside the app using your Apple ID, with Apple acting as the billing entity;
    • The currently available paid options include an annual subscription and a full unlock, each subject to the feature description shown in the app;
    • Prices shown in the App Store or the app apply and may vary due to regional taxes and exchange rates;
    • After successful payment, you can restore entitlements on devices using the same Apple ID through the in-app restore flow.
  3. Refunds: Unless required by applicable law, we do not process refunds directly. Submit refund requests via Apple’s official App Store process.
  4. Taxes and Exchange Rates: You are responsible for any taxes, fees, or currency fluctuations. We strive to reflect current costs in pricing but are not liable for exchange differences or bank charges.

6. Third-Party Services

  1. The Software integrates with Apple services such as StoreKit and receipt validation. When using in-app purchase or restore functions, you must also comply with Apple’s terms and policies.
  2. If we incorporate additional third-party SDKs, APIs, or services in the future, we will notify you and obtain appropriate authorization before use.

7. Intellectual Property

  1. The Software and its contents—including source code, interface design, icons, documentation, trademarks, product names, and derivative works—are owned by us or our licensors and protected by intellectual property laws.
  2. You may not use, copy, modify, distribute, or create derivative works without our prior written consent.
  3. Use of the Software does not grant you any rights to our or third-party trademarks, logos, or copyrights beyond the limited license in Section 3.

8. User-Generated Content

  1. You retain rights to the content you create or store in the Software (e.g., custom crop ratios and personalized configurations).
  2. You grant us permission to use, process, and locally store such content as necessary to deliver the Service and enhance your experience.

9. Disclaimer

  1. The Software is provided “as is” without warranties of any kind. We do not guarantee error-free operation, uninterrupted availability, fulfillment of all your needs, or compatibility with every hardware or system.
  2. We are not liable for losses or damages resulting from:
    • Your failure to follow instructions or system requirements;
    • Actions or omissions of third parties (including Apple and network providers);
    • Force majeure or other circumstances beyond our reasonable control.
  3. To the maximum extent permitted by law, we disclaim liability for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

10. Limitation of Liability

Our total liability to you for any claim arising from or related to the Software will not exceed the amount you actually paid (if any). Because some jurisdictions do not allow exclusion or limitation of implied warranties or incidental damages, the foregoing limitations may not apply to you in whole or in part.

11. Suspension and Termination

  1. If you breach these Terms or applicable law, we may immediately suspend or terminate your access and reserve the right to pursue legal action.
  2. You may terminate the Service at any time by uninstalling the Software.
  3. Termination does not affect rights or obligations that have already accrued under these Terms.

12. International Compliance

  1. You must comply with applicable laws in your jurisdiction, including export controls, data protection, and consumer protection regulations.
  2. EU/UK users: We process data under legal bases such as legitimate interests, contractual necessity, or legal obligations and honor data subject rights under the GDPR/UK GDPR.
  3. U.S. users: We comply with applicable consumer protection, privacy, and export regulations. California residents may exercise CCPA/CPRA rights as described in the Privacy Policy.
  4. Mainland China users: We comply with the Personal Information Protection Law, Data Security Law, and related regulations, processing data lawfully, fairly, and as necessary.

13. Changes to These Terms

  1. We may update these Terms due to business developments or legal requirements. Changes will be communicated via release notes, in-app notifications, or other appropriate methods.
  2. For material changes, we will provide prominent notice and, where required, seek your explicit consent again.
  3. Continued use after updates constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

  1. These Terms are governed by the laws of the United States and the State of California, without regard to its conflict-of-laws principles.
  2. Any dispute arising from or relating to these Terms or the Service will first be resolved through good-faith negotiations. If negotiations fail, the dispute shall be submitted to the courts located in Santa Clara County, California, which shall have exclusive jurisdiction.
  3. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
